You are visitor number: TRASPASO in Spanish means "LEASEHOLD" and is usually the following: ![]() The leasehold sum is an amount of money the buyer pays to take over a business or in some cases an EMPTY shop location. The MISTAKE a lot of people make is that they THINK that the leasehold sum is to BUY the equipment, decor and furniture of the business - this is NOT so. The leasehold price is MAINLY the RIGHT TO TRADE OR DO BUSINESS IN A CERTAIN GEOGRAPHICAL LOCATION. It has NOTHING to do with the value of the stock and furniture, equipment etc. The leasehold price of course usually INCLUDES the fixtures, fittings, signs, decoration, some stock, furniture, services installed such as Cable TV, telephones, water, electricity, plus it includes the licenses in order, however the new buyer is directly responsible for putting the licenses up to date in his name. Special equipment, sound systems, videos and furniture can influence the cost of the traspaso. Remember that the new owner AUTOMATICALLY has the right to RE-SELL the traspaso to someone else in the future - meaning that this sum of money is like having the FUNDS IN THE BANK WITH NO INTEREST. ![]() If you purchase a traspaso and improve the business, renovations, better takings, then you have the right to sell the traspaso for more money in the future. If you run the business and make a profit over the years, some people sell the traspaso for the SAME amount that they paid for years before - content to regain their investment plus the profits they have already made - this is a flexible point. After the leasehold has been paid, the new buyer must then sign a new RENTAL CONTRACT with the FREEHOLD OWNER of the shop or location. This owner is entitled to a percentage of the traspaso - leasehold paid, this can be from 10% to as high as 25% - each case is different. This percentage is not to be calculated on the TOTAL traspaso - leasehold price, it usually is calculated on the "value" of the shop location and size, NOT taking into account the value of the decor, equipment, fixtures or fittings. ![]() EXAMPLE: A 150,000 Euros leasehold restaurant may have about 50,000 Euros in stock, equipment, fixtures and fittings. The owner would get his percentage due on the remaining 100,000 Euros. Usually a 2 month deposit, plus the first months rent plus one month rent to cover legals, translations, consulting, and other paperwork done by the agent - intermediary When dealing with Mallorca-Real-Estate we offer you ,the customer, FREE help and consulting, translations and more for ove6 6 months until you get settled into the business. WE are ALWAYS available to help you in case any problems arise, even problems that have nothing to do with real estate. ![]() The rental contract is RENEWABLE and subject to a 15% rental increase at the start of the new contract and then afterwards it goes up according to the IPC or cost of living. This is usually between 2.5% and 3% per year lately. Usually the contract is for a minimum of 5 or up to 10, 12 or 15 years. IF the buyer defaults on 2 months rent, the owner has the right to go to court, and in about another 2 months the renter will be evicted by law. The BEST way to avoid those situations is to TALK. Speak to your agent - intermediary, he should be happy to liaise with the owner so that a more amiable and flexible agreement can be reached. The WORST thing to do is to repeatedly NOT pay the rent without saying ANYTHING to the owner. This makes the owner feel neglected, and that you do not care about what happens. It is ALWAYS best to communicate these problems as soon as possible to the owner...sometimes its best done by your agent - intermediary who can put things into words and perspectives in the language of the owner, allowing for a more amiable atmosphere and a real chance of coming to a happy solution. ![]() Usually the leasehold price should be a sum that can be "saved up" or "recuperated" after between three and five years maximum. This is, of course, AFTER paying all costs, rentals, taxes, including your normal salary. IF the leasehold price is such that the calculations show that this money cannot be recuperated until at least 6 to 10 years has passed, the traspaso is either too expensive or the business makes a good but slowly increasing margin, OR it is a rather special, privledged property that holds a "plus value" over and above the normal "traspaso" price - this could apply to business situated beach front line, or main street business-front-line positions, or the decor and building is very luxurious and expensive. ![]() BEFORE YOU BUY A LEASEHOLD - TRASPASO, please feel free to consult with us free of charge. With many years experience in Traspasos, plus the fact that during my first 8 years in Mallorca, I owned and ran several "traspasos" - disco pubs, restaurant/pizzerias and discotheques. No formal inventory or concept for this payment is written, your guarantee is the RENTAL contract where the previous owner is no longer connected at all with the business. You then have full rights to improve the business, renovate the premesis if needed, and in the future, sell it as a proper leasehold. TAXES: When buying a business it is very important to cover the TAX obligations and systems before taking over in order not to make any mistakes that might create misunderstandings or tax problems. ![]() Basically there are two tax systems for businesses: The MODULE system is where the tax office calculates a FIX TAX RATE - "Module" - to be paid every 3 months. This sum is calculated by computing the amount of employees, area of the premesis and terrace if any, the amount of electricity contracted, the number of tables and chairs in the case of bars and restaurants etc. This fixed amount is paid every 3 months if you make 1 million or 1 euro...no difference. The advantage here is that you do not need to do a VAT (IVA) declaration every three months, and you do not need to keep books on incomes and expenses. This module system is good for medium to large businesses...as it is simpler, easier and trouble free to use and apply. In many cases its TOO EXPENSIVE for small businesses as the payments might be too high for the business to make a good profit.An accountant is not needed also in these cases. The NORMAL accounting system - so much expenses, so much income, the difference being your profit or loss, and then a percentage of that profit is paid to the tax office. You also have to do a VAT - IVA declaration every 3 months. For this you will need an accountant and it should be done properly, otherwise you could suffer a tax inspection at one moment or another. COMPANIES: You may opt to put your business in the name of a company for tax purposes...usually a private person owning a business is taxed higher than a company as a company has a fixed rate of tax and can deduct more expenses than a private owner of a business. The advantage of having it in a company could be not only tax advantages but also in the case of bankruptcy or going simply out of business, the COMPANY and not YOUR PERSONAL ASSETS are at risk of being confiscated, sold off at auctions or similar. ![]() C.B or "Comunidad de Bienes": This is like a private partnership where two or more people form an agreement to work as partners in normally what is a small business. In this case, your private assets COULD BE USED to settle any debits or claims in case the CB business runs into problems. The accounting is simple and less expensive than normal companies. S.L. or SOCIEDAD LIMITADA: This is a LIMITED COMPANY formation format where a medium to large sized company forms a limited charter falls under the normal laws of company taxes, claims, deductions and has certain tax advantages. It does need an accountant, you need to make a VAT - IVA declaration every 3 months and in case of claims, closing or going bankrupt, only the companies assets are at risk. S.A. or SOCIEDAD ANONIMA - This is usually formed for LARGE companies with many SHAREHOLDERS, employees, high turnover and expensive or large assets etc. Here the taxes are fixed at 35% of the net profit. The accounting is more complex, but flexible, and just as the S.L., only the assets of the company are at risk in case of any problems. The TAX STRUCTURE and CONDITIONS for an S.L. and an S.A. company CHANGE regularly, so it is important and absolutely necessary to consult with a good tax lawyer-fiscal advisor and accountant BEFORE making any decisions on wheather to do a C.B., S.L. or S.
